Terms of Use

Plain-language summary, not a substitute for the terms below: SetNet is production software. Your scripts and production data stay yours. Don't upload material you have no right to. The service assists coordination — it does not make binding scheduling or contractual decisions for you, and a human on your team is always the one who sends and signs. SetNet is early access — and that means you are getting an exceptional ground-floor rate on services and can help shape its improvement. AI is not perfect — so make sure you are checking its work for unexpected output.

Agreement to these terms

These Terms of Use ("Terms") govern access to and use of the SetNet production management service, including the web application, agent interfaces, portal links and any related materials (together, the "Service"), provided by Tall Order Film Services Inc. ("SetNet", "we", "us").

By creating an account, accepting an invitation to a workspace, or using a portal link we send you, you agree to these Terms. If you are agreeing on behalf of a production company, studio or other entity, you confirm you have authority to bind that entity, and "you" means that entity.

Early access status

The Service is offered as an early-access programme. Features may change, be limited or be withdrawn, and availability targets are not guaranteed. Early-access pricing, where offered, is described at sign-up and applies for the period stated there.

We may contact you about your use of the Service during early access, including to sit in on prep and gather feedback. You are not required to participate in feedback sessions.

Accounts, workspaces and roles

A workspace is controlled by the production or company that created it. Workspace administrators may invite, remove and assign roles to users, and may access production content within that workspace. Access is scoped by role — for example administrator, production manager, scout or viewer.

You are responsible for keeping credentials secure and for activity under your account. Tell us promptly at [email protected] if you believe an account or portal link has been compromised.

Your content

You retain all rights in scripts, schedules, contact records, images, documents and other material you or your collaborators upload or create in the Service ("Your Content"). We claim no ownership of Your Content.

You grant us a limited licence to host, copy, transmit, display and process Your Content solely to operate, secure and support the Service for you — including parsing scripts, generating breakdowns and conflict analysis, rendering documents, and delivering portal links to people you designate.

You confirm you have the rights necessary to upload Your Content, including any script, artwork or personal information it contains, and that doing so does not breach a non-disclosure agreement, guild agreement or other obligation you are subject to.

Acceptable use

Do not use the Service to upload material you have no right to distribute; to store special-category personal data beyond what production coordination requires; to attempt to access another workspace; to probe, scan or overload the infrastructure; to reverse engineer the Service; or to resell access without a written agreement with us.

You are responsible for what your workspace sends. Messages, notices, agreements and portal invitations issued from your workspace are your communications, and you are responsible for their content and for obtaining any consent required to contact recipients.

AI features and human review

The Service includes automated and AI-assisted features — script parsing and breakdown, conflict and cascade analysis, drafted messages, and conversational agents. These features produce suggestions and drafts. They can be wrong, incomplete, or out of date relative to what is happening on the ground.

Outbound communications and workflow transitions that email a third party or issue a portal link require a human on your team to review and send. Where the Service flags an import checkpoint or a blocker, it will wait for a person. AI can (and likely will) make some mistakes — you remain responsible for every scheduling, contractual, safety and financial decision you make with the Service, and by using the service acknowledge your responsibility to always verify output before acting on it.

Do not treat the Service as legal, insurance, employment, tax or safety advice.

Third-party services and portal recipients

The Service can connect to third-party calendars, mail providers, storage and agent tooling at your direction. Your use of those services is governed by their own terms, and we are not responsible for their availability or handling of data.

Portal links let people outside your workspace — location owners, payees, vendors — view and respond to specific records without an account. You choose who receives a link. Treat links as sensitive.

Fees

Where the Service is paid, fees, billing period and unit of charge are as presented at purchase. Fees are exclusive of taxes unless stated. Unless required by law, fees already paid are non-refundable, and downgrades take effect at the next billing period.

Our intellectual property

The Service, including its software, interface, documentation and brand, is owned by us and our licensors. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription or early-access period. Feedback you give us may be used freely to improve the Service, without obligation to you.

Confidentiality

We treat unreleased production information in your workspace as confidential and will not disclose it except to operate the Service, to people you authorise, or where required by law. Our staff access production content only as needed to support, secure or debug the Service.

Suspension and termination

You may stop using the Service at any time. We may suspend or terminate access where you materially breach these Terms, where use threatens the security or stability of the Service, or where required by law — with notice where practicable.

On termination we will make Your Content available for export for a reasonable period, after which it may be deleted. You can request deletion at any time as described in the Privacy Policy.

Warranties and disclaimers

The Service is provided "as is" and "as available". To the fullest extent permitted by law, we disclaim implied warranties of merchantability, fitness for a particular purpose and non-infringement, and do not warrant that the Service will be uninterrupted, error-free, or that its analysis will identify every conflict.

Limitation of liability

To the fullest extent permitted by law, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, lost production days, lost revenue or lost data. Our aggregate liability arising out of the Service is limited to the greater of the fees you paid us in the twelve months before the claim, or CAD $100.

Nothing in these Terms limits liability that cannot be limited by law.

Indemnity

You will defend and indemnify us against third-party claims arising from Your Content or from your use of the Service in breach of these Terms, including claims that Your Content infringes rights or that a communication sent from your workspace was unlawful.

Changes to these terms

We may update these Terms. Where a change is material we will give notice in the Service or by email before it takes effect. Continuing to use the Service after the effective date means you accept the updated Terms.

Governing law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable there, without regard to conflict-of-laws rules, and the courts located in that province have exclusive jurisdiction — except that either party may seek injunctive relief in any competent court to protect its intellectual property or confidential information.
